Terms of Service for Consciousness Voice Coaching

Welcome to Consciousness Voice Coaching, operated by Paul the Voice Coach LLC (“we,” “us,” or “our”). These Terms of Service (“TOS”) govern your use of our website, https://consciousnessvoicecoaching.com/ (the “Website”), and the voice coaching services we provide, including individual sessions, session packages, and our 10-week intensive program (collectively, the “Services”). The Services are provided primarily online via a secure platform (e.g., Zoom) and, in some cases, in-person at mutually agreed locations. By accessing the Website or purchasing our Services, you agree to be bound by these TOS. If you do not agree, please do not use the Website or purchase our Services.
1. Acceptance of Terms
By using the Website or engaging our Services, you confirm that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are accessing the Services on behalf of an organization, you represent that you have the authority to bind that organization to these TOS.
2. Description of Services
We provide voice coaching services, including individual sessions, session packages, and a 10-week intensive program, designed to help you improve your vocal skills and achieve your personal goals. Sessions are primarily conducted online via a secure platform, though some sessions may be conducted in-person at a mutually agreed location. The scope, schedule, and format (online or in-person) of the Services will be agreed upon at the time of purchase.
3a. Payment and Fees
Payment: You agree to pay all fees for the Services as outlined on the Website at the time of purchase. Payments are processed through our designated payment processor and must be made in advance.
Payments must be received before scheduling.
Taxes: You are responsible for any applicable taxes associated with your purchase, unless otherwise stated.
All payments are non-refundable.
3b. Cancellation and Make-Up Sessions
Cancellation by You: You may cancel a scheduled session (online or in-person) by notifying us at least 24 hours in advance via our online contact form at https://consciousnessvoicecoaching.com/ or SMS/text. If you cancel with less than 24 hours’ notice or fail to attend a session, the session will be forfeited, and no refund or credit will be provided, except in case of accident, illness, or last-minute professional commitment eg call-back or sub gig.
Make-Up Sessions: Make-up sessions are not guaranteed. If you are scheduled and cancel prior to the 24 hour cancellation window, make-up sessions are not guaranteed. However, if scheduling allows, we may offer a make-up session within 7 days of the cancelled session, at our sole discretion. You must request a make-up session in writing via our online contact form or SMS/text. For in-person sessions, make-up sessions are subject to location availability.
Cancellation by Us: We reserve the right to cancel or reschedule sessions due to unforeseen circumstances (e.g., technical issues, coach availability, or in-person venue issues). If we cancel a session, we will offer a make-up session at a mutually convenient time or provide a refund for that session, at your discretion.
4. Session Usage Period
All purchased sessions, whether individual, part of a session package, or part of the 10-week intensive program, must be used within 90 days of the purchase date. Any unused sessions after 90 days will expire (unless a special accomodations has been discussed) and are non-refundable, except as required by law.
5. Your Responsibilities
Accurate Information: You agree to provide accurate and complete information when scheduling sessions or submitting payment.
Technology Requirements for Online Sessions: For online sessions, you are responsible for ensuring you have the necessary technology (e.g., internet connection, comparable device, and access to the virtual platform) to participate in the Services.
In-Person Session Requirements: For in-person sessions, you are responsible for arriving at the agreed location on time and complying with any venue-specific rules or safety protocols.
Conduct: You agree to act respectfully during sessions, whether online or in-person, and refrain from any behavior that is abusive, disruptive, or unlawful.
6. Limitation of Liability:
To the fullest extent permitted by law, Paul the Voice Coach LLC, its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, or opportunities, arising out of or related to your use of the Website or Services, whether based on contract, tort, negligence, or any other legal theory. Our total liability for any claim related to the Services will not exceed the amount you paid for the specific session or program giving rise to the claim. For in-person sessions, we are not liable for any injuries, property damage, or losses incurred at the session location, except to the extent caused by our gross negligence or willful misconduct. The Services are provided for general coaching purposes and are not a substitute for professional advice (e.g., medical, psychological, or legal). You assume all risks associated with implementing techniques or advice provided during the Services, whether online or in-person. Whereas Consciousness Voice Coaching and Paul the Voice Coach LLC cannot control how the client utilizes or implements the information, techniques, and exercises provided outside of sessions, they are not and can not be responsible for any injury or liability outside of sessions in any way.
6b. Arbitration
Any dispute, claim, or controversy arising out of or relating to these TOS, the Website, or the Services will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration will be conducted in Los Angeles, California, or virtually if agreed by both parties, and will be governed by California law, without regard to its conflict of law principles. You and Paul the Voice Coach LLC agree to submit to the jurisdiction of a single arbitrator, whose decision will be final and binding. Each party will bear its own costs and attorney’s fees, and the arbitrator may not award punitive damages. You waive your right to participate in a class action lawsuit or class-wide arbitration. This arbitration clause does not apply to claims that cannot be arbitrated under applicable law (e.g., certain consumer protection claims).
7. Intellectual Property
All content on the Website and provided during the Services, including but not limited to text, videos, worksheets, and coaching materials, is the property of Paul the Voice Coach LLC or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our express written permission, except for personal, non-commercial use in connection with the Services.
7b. Termination
We reserve the right to terminate or suspend your access to the Website or Services at our discretion, with or without notice, if you violate these TOS or engage in conduct we deem harmful to our business or other clients. Upon termination, any unused sessions will expire, and no refunds will be provided except as required by law or under the money-back guarantee in Section 4.
7c. Governing Law
These TOS are governed by the laws of the State of California, without regard to its conflict of law principles. Subject to the arbitration clause in Section 6, any legal action arising from these TOS will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction.
7c. Changes to These Terms
We may update these TOS from time to time. We will notify you of material changes by posting the updated TOS on the Website with a revised effective date. Your continued use of the Website or Services after such changes constitutes your acceptance of the updated TOS.

8. Miscellaneous
Entire Agreement:
These TOS, together with our Privacy Policy, constitute the entire agreement between you and Paul the Voice Coach LLC regarding the Website and Services.
Severability: If any provision of these TOS is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: Our failure to enforce any provision of these TOS does not constitute a waiver of that provision or any other right.
